Michi — Terms of Use

Welcome to Michi. These Terms of Use ("Terms") are an agreement between you and Michi, operated by legal entity name in Quebec, Canada ("Michi", "we", "us"). They set out the rules for using the Michi app and services (the "Service"). By creating an account or using Michi, you agree to these Terms. If you don't agree, don't use Michi.

Your privacy is covered by our Privacy Policy.

1. Who can use Michi

You must be 18 or older to use Michi, and by using it you confirm that you are. Michi is not intended for anyone under 18.

2. Your account

You're responsible for the information on your account, for keeping your login secure, and for what happens under your account. Give us accurate information and keep it current. Don't impersonate anyone or create an account for someone else without permission.

3. What Michi is

Michi helps you discover, create, and join real-world activities and events, coordinate through group and private chats, and build a friend graph capped at 365 people, formed through shared activity or in-person proximity. We may add, change, or remove features over time; if a change materially affects how you use Michi, we'll give reasonable notice.

4. Events are created by users

Every event on Michi is created by its users. Michi does not create, organize, run, supervise, fund, or attend events. We provide the platform that lets people list events and coordinate. Your arrangement for any event is with the user who organizes it, not with Michi.

5. Your content

Michi doesn't claim ownership of your content, you keep it. But to run the Service, you give Michi a non-exclusive, royalty-free licence to host, store, display, and share your content only to operate and improve Michi. For example, showing your event to the people you invite, or your message to a chat. This licence ends when you delete the content or your account, except for copies we must keep for legal or safety reasons and copies others have already saved or re-shared within Michi.

You're responsible for what you post, and you confirm you have the right to post it and that it doesn't break these Terms or anyone else's rights.

6. Rules for using Michi

Don't use Michi to:

break the law, or harm, harass, threaten, stalk, defraud, or endanger anyone;
post content that's illegal, hateful, violent, sexually exploitative, defamatory, or that infringes someone's rights;
post content you don't have the right to share;
send spam or unsolicited promotions;
try to access accounts or data that aren't yours, break security, scrape the Service, or interfere with how it runs; or
solicit hookups or sexual encounters: Michi is not a dating app and isn't built for such usage.

Breaking these rules can get your content removed and your account suspended or terminated.

7. Organizers, verification, and moderation

Organizer responsibilities. If you create an event, you're responsible for it; for the accuracy of your listing, for running it safely and lawfully, and for any venue, permits, or rules that apply. You must provide accurate information about yourself and your event, and follow these Terms in everything you post.
Verification and review. We may review organizers and events, ask for information to confirm an organizer's identity or legitimacy, and approve, refuse, or remove events at our discretion. We don't guarantee that any organizer or event has been verified, so use your own judgment (see Section 8).
Reporting. Every user can report an event, a message, or another user in-app. We review reports and act where appropriate.
Our moderation rights. We may hide or remove any content, suspend or terminate accounts, and limit or end someone's ability to organize on Michi if we believe they break these Terms or create risk for the community. We're not obligated to monitor everything and can't promise to catch every problem, but we act on what we find and what's reported.

8. Safety and your assumption of risk

Please read this carefully.

Michi helps people meet in the real world, and meeting people or attending events in person carries real risks. We do not verify users' identities or backgrounds, and we do not organize, supervise, or control events. Every event is created and run by users.

You are responsible for your own safety and decisions, including whether to attend an event, meet anyone, or take part in any activity. Use your judgment: meet in public, tell someone where you're going, and leave if something feels wrong.
To the fullest extent permitted by law, Michi is not responsible for any injury, loss, or damage; physical, emotional, financial, or otherwise, arising from your interactions with other users or organizers, your attendance at any event, or anything that happens in the real world, whether or not you found it through Michi. You take part at your own risk.
Deal with the event's organizer directly; they're responsible for their event.

Nothing here removes any protection you have under Quebec's Consumer Protection Act or other laws that can't be waived, including for bodily injury caused by our own fault.

9. Intellectual property and copyright

Michi itself, its software, design, name, and logo, belongs to Michi or its licensors. We give you a limited, personal right to use the app under these Terms; don't copy, modify, or reverse-engineer it except as the law allows.

If you believe content on Michi infringes your copyright or other rights, email contact email with: a description of the work, where the content is on Michi, your contact information, and a statement that you believe in good faith the use isn't authorized. We'll review the report, remove content where appropriate, and we terminate the accounts of repeat infringers.

10. Third-party services and links

Michi may link to or rely on services run by others. We're not responsible for their content or practices, and your use of them is governed by their own terms.

11. Disclaimers

Michi is provided "as is" and "as available," to the fullest extent the law allows. We don't promise the Service will always be available, error-free, or that content posted by users is accurate or lawful. Nothing in these Terms removes any warranty or right you have under Quebec's Consumer Protection Act or other mandatory law, including the legal warranty.

12. Limitation of liability

To the fullest extent permitted by law, Michi won't be liable for indirect, incidental, or consequential damages, or for lost profits or data. Where liability can't be excluded, it's limited to CAD $100. This section does not limit any liability the law won't let us limit, including consumers' rights under Quebec's Consumer Protection Act and liability for bodily injury caused by our fault. See also Section 8 on real-world events.

13. Indemnification

To the extent the law allows, you agree to cover Michi's reasonable losses arising from your content, your use of Michi, your conduct at events, or your breach of these Terms, except where the loss results from our own fault or where the law prohibits this (including against consumers under the Consumer Protection Act).

14. Suspension and termination

You can stop using Michi and delete your account any time. We may suspend or end your access if you break these Terms, create legal risk, or repeatedly infringe others' rights. Sections that should naturally survive; content-licence limits; disclaimers, limitation of liability, indemnification, and governing law, continue to apply after termination.

15. Changes to these Terms

We may update these Terms. We'll post the new version with an updated effective date and tell you about material changes in the app or by email. For consumers, we won't change an essential term without your consent, as the law requires. Continuing to use Michi after a non-essential change takes effect means you accept it.

16. Governing law

These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada that apply there. If you're a consumer in Quebec, you keep all the protections of Quebec law and the right to bring a claim in Quebec, nothing here makes you go elsewhere or use another jurisdiction's law.
